    • I agree that the payee account number and/or IFSC code provided by me is correct

  3. UNIFIED PAYMENTS INTERFACE (UPI) TERMS AND CONDITIONS

    These terms and conditions (“Terms”) apply to and regulate the provision of UPI fund transfer and fund collection facility provided by Fino Payments Bank Limited (FINO PAYMENTS Bank”). FINO PAYMENTS Bank shall endeavor to provide to the Customer(s), UPI Facility in accordance with the UPI guidelines, circulars and/or regulations issued by the Reserve Bank of India (“RBI”) and/or National Payments Corporation of India (“NPCI”) from time to time (“Guidelines”) subject to the terms and conditions herein specified. By using the UPI, Customer(s) hereby agrees to the terms & conditions which forms the contract between the Customer(s) and FINO PAYMENTS Bank for availing such facility.

    Before usage of the UPI, Customer(s) are advised to carefully read and understand these Terms and Conditions. Usage of the Unified Payment Interface by the Customer(s) shall be construed as deemed acceptance of these Terms and Conditions mentioned herein below.

    Definitions

    In this document the following words and phrases have the meanings set opposite them unless the context indicates otherwise:

    "Account(s)" refers to the resident Indian savings and /or current bank account(s) held and maintained with FINO PAYMENTS Bank or resident savings and/or current account held with any bank in India, to be used for operations through the UPI Facility.

    "Customer(s)" means the applicant/remitter availing the UPI Facility through his/her Account(s) and registered with FINO PAYMENTS Bank’s UPI Application.

    “Merchant/s” shall mean and include online, mobile-app based and offline merchants who provides goods and services in exchange for payment through UPI.

    “NCPI” shall mean National Payments Corporation of India, a company incorporated in India under Section 25 of the Companies Act, 1956 and having its registered office at 1001A, B wing 10th Floor, The Capital, Plot 70, Block G, Bandra-Kurla Complex, Bandra (East), Mumbai – 400 051, and acting as the settlement, clearing house, regulating agency for UPI system with the core objective of consolidating and integrating the multiple payment systems with varying service levels into nation-wide uniform and standard business process for all retail payment systems;

    “NPCI UPI System” means the switch and related equipment and software owned by NPCI to provide the UPI based fund transfer and funds collection facility including the National Financial Switch;

    "Payment Order" means an unconditional instruction issued by the Customer transmitted electronically to FINO PAYMENTS Bank either through FINO PAYMENTS Bank’s internet banking facility or mobile banking provided by FINO PAYMENTS Bank to effect a fund transfer for a certain sum of money expressed in Indian rupees, to the designated account of a designated beneficiary by debiting Account(s) of the Customer.

    “PSP (Payment Service Provider)” refers to banks which are allowed to acquire Customers and provide payment (credit/debit) services to Customers.

    “UPI” refers to the Unified Payments Interface Service offered by NPCI in collaboration with its member banks.

    "UPI Facility" means the Unified Payments Interface Service based electronic fund transfer and fund collection facility provided by FINO PAYMENTS Bank to its Customers through the NPCI UPI System as per the Guidelines.

    As a PSP, FINO PAYMENTS Bank will provide a mobile application to the customers which will use the NPCI UPI libraries for facilitating payments (Send & Collect Money). The PSP mobile application can be used by FINO PAYMENTS Bank’s customers or other bank’s customers to transact on their bank account after a one-time registration process.

    Words or expressions used in this form, but not specifically defined herein shall have the respective meanings assigned to them by NPCI.

    Applicability of Terms and Conditions

    Each Customer desirous of availing the UPI Facility shall by way of a one-time registration, in such form, manner and substance as FINO PAYMENTS Bank may prescribe, apply for UPI Facility and FINO PAYMENTS Bank shall be entitled, at its sole discretion, to accept or reject such applications. The Customer may apply for UPI Facility by downloading “BPay” application. On BPay, Customer will have an option to set a virtual payment address and start transaction via UPI. In BPay, if Customer is adding an FINO PAYMENTS Bank account, it will have an option to set a virtual payment address for that account and start transacting using UPI. Customer can link other bank accounts through a one-time registration process defined and standardized by NPCI and then start transacting on that. By applying for and accessing the UPI Facility, Customer accepts these Terms and Conditions, which shall govern the provision of the UPI Facility by FINO PAYMENTS Bank. The Terms and Conditions shall be in addition to and not in derogation of the Guidelines issued by NCPI and/ or the Company from time to time.

    The Customer hereby acknowledges that the Customer has read and understood the Guidelines and agrees that the rights and obligations provided therein and in these Terms in so far as it relates to the Customer shall be binding on the Customer with regard to every Payment Order issued by him/it for execution in the NPCI UPI System. The Customer understands and agrees that nothing in terms of availing the UPI Facility shall be construed as creating any contractual or other rights against NPCI or any participant in the NPCI UPI System other than FINO PAYMENTS Bank. Notwithstanding anything contained herein, all terms and conditions stipulated by FINO PAYMENTS Bank in connection with the Accounts shall continue to apply.

    Scope of the UPI Facility

    UPI Facility offers an instant, 24X7, interbank electronic fund transfer or fund collection service to the customers of UPI member banks (Banks who provide UPI facility to their customers). The Customers can put in request for fund transfers or funds collection or respond to funds collection from BPay in a secure manner for any of their linked bank Accounts. As a PSP, FINO PAYMENTS Bank will provide a mobile application to the customers which will use the NPCI UPI libraries facilitating payments. The PSP mobile application can be used by Customer(s) to transact on Account(s) after a one-time registration process. The Customer is responsible for the correctness of information supplied to FINO PAYMENTS Bank through the use of or through any other means such as electronic mail or written communication. FINO PAYMENTS Bank does not accept any liability for the consequences arising out of erroneous information supplied by the Customer.

    Rights and Obligations of the Customer

    (i) The Customer shall be entitled, subject to other terms and conditions of the service, to issue Payment Orders for execution by FINO PAYMENTS Bank.

    (ii) The Payment Order shall be issued by the Customer, in the form as prescribed by FINO PAYMENTS Bank, which is complete in all particulars. The Customer shall be responsible for the accuracy of the particulars given in the Payment Order for UPI Facility and shall be liable to compensate FINO PAYMENTS Bank for any loss arising on account of any error in the Payment Order.

    (iii) The Customer shall be bound by any Payment Order executed by FINO PAYMENTS Bank, if FINO PAYMENTS Bank has executed the Payment Order in good faith and in compliance with the instructions given by the Customer.

    (iv) The Customer authorizes FINO PAYMENTS Bank to act as a PSP and shall debit the Account(s) as per the instructions received by way of Payment Orders. The Customer understands that although multiple bank accounts can be linked with the UPI Facility, debit/credit transactions can be done from the default account. Customer may change the default account before initiating such debit/credit transactions. Each Account that may be linked with the UPI facility can be opened with a separate username.

    (v)The Customer shall ensure availability of funds in his Account(s) towards the fulfillment of the Payment Order before/at the time of the execution of the Payment Order by FINO PAYMENTS Bank. The Customer hereby authorizes FINO PAYMENTS Bank to debit the Account(s) of the Customer for any liability incurred by FINO PAYMENTS Bank on behalf of the Customer for execution of the instruction issued by the Customer. The Customer understands and agrees that once a fund collection request is accepted, the default account will automatically be credited with such amounts as may be mentioned in the fund collection request. The Customer understands and agrees that such amounts once credited to default account cannot be reversed by the Customer.

    (vi) The Customer agrees that the Payment Order shall become irrevocable after it is executed by FINO PAYMENTS Bank.

    (vii) The Customer agrees that he shall not be entitled to make any claim against FINO PAYMENTS Bank, RBI and/or NPCI in respect to the UPI Facility.

    (viii) The Customer agrees that in the event of any delay in the completion of the funds transfer or any loss on account of error in the execution of the funds transfer pursuant to a Payment Order or on account of error, negligence or fraud on the part of any employee of FINO PAYMENTS Bank, FINO PAYMENTS Bank's liability shall be limited to the extent of payment of interest at the Call Money Rate as published by the RBI on a daily basis for any period of delay in the case of delayed payment and refund of the amount together with interest at the Call Money Rate (as on the date of the complaint lodged by the Customer) up to the date of refund.

    (ix)The Customer shall provide correct, valid and authentic beneficiary details to FINO PAYMENTS Bank at the time of availing the UPI Facility. The Customer shall be solely responsible for entering wrong beneficiary details like incorrect Virtual Payment Address, incorrect Aadhaar number or incorrect mobile number, due to which the fund are transferred to an incorrect beneficiary. Customer shall be solely liable for any damage, claim, issue arising out or in connection with the output of the transaction made after providing such incorrect beneficiary details.

    (x) The Customer shall not hold FINO PAYMENTS Bank responsible for any damage, claim, issue arising out or in connection with any purchase of goods/services from merchants through Payment Orders issued by UPI Facility. The Customer understands and agrees that all such losses, damages and issues shall constitute a claim against such merchants only.

    (xi) The Customer agrees that the UPI Facility is offered in line with the RBI’s guidelines on mobile banking which are subject to change from time to time.

    (xi) Customer shall inform FINO PAYMENTS Bank immediately of any inquiry, question or issue raised by any authority including but not limited to any statutory authority or official regarding and relating to FINO PAYMENTS Bank, as well as expeditiously notify FINO PAYMENTS Bank of any show causes, seizure or similar action and provide copies of any notices, memos, correspondences received from such authority. Customer shall not unilaterally file any response / reply to such an authority without the prior written approval and vetting by FINO PAYMENTS Bank.

    (xii) The Customer shall be solely liable for ensuring availability of sufficient funds in the Account(s) at all times for the purpose of availing the Facility. The Customer agrees that in the event there are insufficient funds in the Account, FINO PAYMENTS Bank shall decline the transaction instruction.

    Rights and obligations of FINO PAYMENTS Bank

    (i) FINO PAYMENTS Bank shall execute a Payment Order issued and duly authorized by the Customer , unless: (a) the funds available in the Account(s) of the Customer are not adequate or funds are not properly applicable/available to comply with the Payment Order (b) the Payment Order is incomplete or it is not issued in the agreed form, (d) FINO PAYMENTS Bank has reason to believe that the Payment Order is issued to carry out an unlawful transaction or (e) the Payment Order cannot be executed under the NPCI UPI System.

    (ii) No Payment Order issued by the Customer shall be binding on FINO PAYMENTS Bank until FINO PAYMENTS Bank has accepted it.

    (iii) FINO PAYMENTS Bank shall, for execution of every Payment Order, be entitled to debit the designated Account(s) of the Customer, with the amount of the funds to be transferred together with charges payable thereon.

    (iv) A duly authenticated record of the transaction after completion of the funds transfer or funds collection or response to a funds collect request will be recorded in the statement of account in the mobile application of FINO PAYMENTS Bank. The transaction will also be recorded in the statement of account of given to the Customer by the Customer’s bank.

    (v) FINO PAYMENTS Bank for providing the UPI Facility to the Customer shall follow the process prescribed by NPCI in this regard including but not limited to process for settling of timed out transactions within the time limit prescribed by NPCI(vi) FINO PAYEMENTS Bank shall, in no circumstances, be held liable to the user for any other bank services.

    Instructions

    The Customer is responsible for the accuracy and authenticity of the instructions provided to FINO PAYMENTS Bank and the same, if is in the form and manner prescribed by FINO PAYMENTS Bank, shall be considered to be sufficient to operate the UPI Facility. FINO PAYMENTS Bank shall not be required to independently verify the instructions. FINO PAYMENTS Bank has no liability if it does not or is unable to stop or prevent the implementation of any Payment Order issued by the Customer. Once a Payment Order is issued by the Customer the same cannot be subsequently revoked by the Customer.

    FINO PAYMENTS Bank states that it has no liability or obligation to keep a record of the instructions to provide information to the Customer or for verifying the instructions. FINO PAYMENTS Bank shall refuse to comply with the instructions without assigning any reason and shall not be under any duty to assess the prudence or otherwise of any instruction. FINO PAYMENTS Bank has the right to suspend the transactions with respect to the UPI Facility if it has reason to believe that the Customer’s instructions will lead to or expose to direct or indirect loss to FINO PAYMENTS Bank or may require an indemnity from the Customer before continuing to operate the UPI Facility.

    All instructions, requests, directives, orders, directions, entered by the Customer, are based upon the Customer’s decisions and are the sole responsibility of the Customer.

    Sharing of Information

    The Customer irrevocably and unconditionally authorizes FINO PAYMENTS Bank to access all the Customer’s Account(s) and records for the purpose of providing the UPI Facility. The Customer agrees that FINO PAYMENTS Bank and its affiliates (or their contractors) may hold and process its personal information and all other information concerning its Account(s) on computer or otherwise in connection with the UPI Facility as well as for analysis, credit scoring and marketing.

    Disclaimer of Liability

    FINO PAYMENTS Bank does not hold out any warranty and makes no representation about the quality of the UPI Facility. The Customer agrees and acknowledges that FINO PAYMENTS Bank shall not be liable and shall in no way be held responsible for any damages whatsoever whether such damages are direct, indirect, incidental or consequential and irrespective of whether any claim is based on loss of revenue, interruption of business, transaction carried out by the Customer and processed by FINO PAYMENTS Bank, information provided or disclosed by FINO PAYMENTS Bank regarding Customer’s Account(s) or any loss of any character or nature whatsoever and whether sustained by the Customer or by any other person. While FINO PAYMENTS Bank shall endeavor to promptly execute and process the transactions as proposed to be made by the Customer, FINO PAYMENTS Bank shall not be responsible for any non-response or delay in responding due to any reason whatsoever, including due to failure of operational/technical systems or any requirement of law. FINO PAYMENTS Bank shall not be liable for any loss, claim or damage suffered by the Customer and/or any other third party arising out of or resulting from failure of an UPI transaction on account of time out transaction i.e. where no response is received from NPCI or the beneficiary bank to the transaction request and/or where mobile number or account number of the beneficiary does not exist. Further, FINO PAYMENTS Bank shall also not be liable for any loss, damage and/or claim arising out of or resulting from wrong beneficiary details, mobile number and/or account details being provided by the Customer. Neither FINO PAYMENTS Bank nor its affiliates, directors, officers and/or agents shall be liable for any unauthorized persons accessing the records or Account(s) or information through the use of UPI Facility and the Customer hereby fully indemnifies and holds FINO PAYMENTS Bank, its affiliates, directors and officers harmless against any action, suit, proceeding initiated against it or any loss, cost or damage incurred by it as a result thereof. FINO PAYMENTS Bank shall under, no circumstance, be held liable to the Customer if UPI Facility access is not available in the desired manner for reasons including but not limited to natural calamities, legal restraints, faults in the telecommunication network or network failure, or any other reason beyond the control of FINO PAYMENTS Bank. Illegal or improper use of the UPI Facility shall render the Customer liable for payment of financial charges (to be decided by FINO PAYMENTS Bank) or may result in suspension of the UPI Facility to the Customer. All the records of FINO PAYMENTS Bank generated by the transactions arising out of the use of the UPI Facility, including the time the transaction is recorded shall be conclusive proof of the genuineness and accuracy of the transaction. For the protection of both the parties, and as a tool to correct misunderstandings, the Customer understands, agrees and authorizes FINO PAYMENTS Bank, at its discretion, and without further prior notice to the Customer, to monitor and record any or all telephone conversations between the Customer(s) and FINO PAYMENTS Bank and any of its employees or agents. FINO PAYMENTS Bank expressly disclaims all warranties of any kind, whether express or implied or statutory, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, data accuracy and completeness, and any warranties relating to non-infringement in the UPI Facility.

    Indemnity

    The Customer agrees, at its own expense, to indemnify, defend and hold harmless FINO PAYMENTS Bank, its directors and employees, representatives, agents, and its affiliates against any claim, suit, action or other proceeding brought against FINO PAYMENTS Bank, its affiliates, directors and employees, representatives or agents by a third party, to the extent that such claim, suit, action of other proceeding based on or arises in connection with the use of the UPI Facility with reference to:

    (i) A violation of the UPI Terms and Conditions by the Customer;

    (ii) Any deletions, additions, insertions or alterations to, or any unauthorized use of, the UPI Facility by the Customer;

    (iii) Any misrepresentation or breach of representation or warranty made by the Customer contained herein;

    (iv) Any breach of any covenant or obligation to be performed by the Customer hereunder;

    The Customer agrees to pay any and all costs, damages and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against it or otherwise incurred by or in connection with or arising from any such claim, suit, and action or proceeding attributable to any such claim. The Customer hereby agrees that under no circumstances, FINO PAYMENTS Bank’s aggregate liability for claims relating to the UPI Facility, whether for breach or in tort including but not limited to negligence shall be limited to the transaction charges/fees or consideration paid by the Customer within the previous twelve (12) months for the UPI Facility, excluding any amount paid towards transactions.

    Assignment

    FINO PAYMENTS Bank shall be entitled to sell, assign, securitize or transfer FINO PAYMENTS Bank’s right and obligations under these Terms and Conditions any security in favor of FINO PAYMENTS Bank (including all guarantee/s) to any person of FINO PAYMENTS Bank’s choice in whole or in part and in such manner and on such terms and conditions as FINO PAYMENTS Bank may decide. Any such sale, assignment, securitization or transfer shall conclusively bind the Customer and all other persons. The Customer, its successors and assignees are bound by these Terms and Conditions. However, the Customer shall not be entitled to transfer or assign any of its rights and obligations under these Terms and Conditions.

    Termination

    FINO PAYMENTS Bank may withdraw or terminate the UPI Facility anytime either entirely or with reference to a specific UPI Facility without assigning any reasons whatsoever. FINO PAYMENTS Bank may suspend or terminate the UPI Facility without prior notice to the Customer(s), if the Customer has breached any of these Terms and Conditions.

    The UPI facility may be suspended due to maintenance or repair work or any breakdown in the Network/Hardware/ Software for UPI Facility, any emergency or for security reasons without prior notice and FINO PAYMENTS Bank shall not be responsible for any losses/damages to the Customer(s).

    General Conditions

    The laws of India shall govern these terms and conditions and/or the operations in the Account(s) maintained with FINO PAYMENTS Bank. Any legal action or proceedings arising out of these Terms shall be brought in the courts or tribunals at Mumbai in India. FINO PAYMENTS Bank may, however, in its absolute discretion commence any legal action or proceedings arising out of these Terms in any other court, tribunal or other appropriate forum, and the Customer hereby agrees and consents to that jurisdiction. The clause headings in this Terms and Conditions are only for convenience and do not affect the meaning of the relative clause. FINO PAYMENTS Bank may sub-contract and employ agents to carry out any of its obligations hereunder. FINO PAYMENTS Bank may transfer or assign its rights and obligations under this contract to any other entity. FINO PAYMENTS Bank has the absolute discretion to amend or supplement any of the Terms and Conditions as stated herein at any time and will endeavor to give prior notice for such changes wherever feasible. By using the new services, the Customer shall be deemed to have accepted the changed terms and conditions. In addition, FINO PAYMENTS Bank may also publish notices of general nature, which are applicable to all Customers on its website at www.finobank.com. Such notices will have the same effect as a notice served individually to each Customer. Any provision of these Terms and Conditions, which is prohibited or unenforceable in any jurisdiction, shall, as to such jurisdiction, be ineffective to the extent of prohibition or unenforceability but shall not invalidate the remaining provisions of these Terms or affect such provision in any other jurisdiction.

    UPI Number and Onboarding to Centralised UPI Mapper. You understand and agree that Fino Payments Bank Ltd. will assign a UPI Number to your Fino Account on FinoPay application to enable you to use FinoPay Services in relation to UPI using your UPI Number. You further agree and specifically consent to Fino Payments Bank Ltd. onboarding you on the centralised mapper operated by the NPCI (i.e., the Numeric UPI ID Mapper) and any other databases as the NPCI may require and notify from time to time. The ‘UPI Number’ will be your [registered mobile number] by default, and by agreeing to allow the onboarding of your UPI Number to the centralised mapper(s) of the NPCI, you will be able to send and / or receive funds on the FinoPay App using your ‘UPI Number’. The onboarding process will be in accordance with the NPCI’s guidelines and directions. You understand and agree that Fino is entitled to act as per the instructions of the NPCI, which includes (without limitation) sharing your UPI details with the NPCI and linking your primary bank account or your UPI ID (virtual payment address) to your ‘UPI Number’. Once onboarded in the centralised mapper(s), you will be able to use your UPI Number to send and / or receive funds. You may choose to delink the default mapping of your UPI Number at any time by [updating the settings] on the FinoPay App.

     AutoPay Terms & Conditions

    These Autopay Terms govern a functionality enabled by FinoPay wherein FinoPay User(s) can set-up Automated Payment(s) (as defined below) for Eligible Merchant(s) on FinoPay App, by pre-authorising FinoPay to make payment(s) on behalf of the FinoPay User(s) on such frequency set or opted by the FinoPay User, in accordance with these Autopay Terms.

    1. Definitions
      1. “Automated Payments” or “Automated Transaction(s)” shall mean such payment(s) enabled by FinoPay, based on a certain frequency set by FinoPay User under a Mandate, for Eligible Merchant(s).
      2. Eligible Merchants” shall mean such eligible categories of merchants, service provider(s), biller(s) who are enabled with FinoPay for accepting Automated Payments from FinoPay User(s) in accordance with these Autopay Terms.
      3. Mandate” shall mean a standing instruction / authorisation provided by a FinoPay User via FinoPay App for automatic payment(s) to Eligible Merchant(s) in accordance with these Autopay Terms.  
      4. Mandate Execution” means successful deduction of the authorised amount in relation to a Mandate, by Your issuer bank as per Your selected payment mode enabled by FinoPay, for a particular Autopay Payment. 
      5. Mandate Limit(s)” shall mean such limit(s) in relation to a Mandate which can either be (i) a pre-fixed value of an Automated Payment, or (ii) a variable value of the Automated Payment, subject to the maximum / overall permissible limit set by RBI / NPCI (as updated from time to time).
      6. Mandate Registration” shall mean such details / inputs required to be provided by a FinoPay User in relation to a Mandate which shall include, (i) parameters in relation to a Mandate, (ii) start date and end date in relation to a Mandate, (iii) Mandate Limits, (iv) frequency of the Mandate.
    2. Mandate set up
      A Mandate shall be set-up only after a successful validation / authentication by Your issuer bank via FinoPay App. In order to set up a Mandate, You shall be required to share details in relation to Mandate Registration with respect to a particular Automated Payment. Further, You can choose such payment mode(s) / payment instrument(s) enabled by FinoPay under this functionality to proceed with Mandate set-up.
      Post successful Mandate Registration, a Mandate Execution shall be undertaken based on the frequency of the Mandate set by You, and such authorised amount shall be deducted from your linked bank account / credit limit (as the case may be) and transferred to the designated payee / beneficiary  in relation to such Automated Payment.    
      FinoPay hereby disclaims any liability in relation to a rejection, failure, or a pending status of a Mandate, or a Mandate Execution, and shall have no role or liability in relation to such validation(s) / authentication undertaken by Your issuer bank in this regard.  
    3. Mandate Execution
      Your Mandate(s) will be processed only if You maintain sufficient funds in Your bank account, and/or have available credit limit(s) (as the case may be) based on the chosen payment instrument / mode by You at the time of Mandate set-up. If you fail to do so, Your Mandate Execution be unsuccessful.  
      Please note that after processing of a Mandate via FinoPay, it may take up to 2 (two) to 10 (ten) days from the date of the Automated Payment for You to receive a confirmation about the final payment status in relation to an Automated  Payment by Your Eligible Merchant.
      You shall be notified prior to the actual debit to Your linked bank account, credit limit (as the case may be) in relation to Your Automated  Payment, and post a successful Mandate Execution on your registered mobile number, along with other details in relation to the Mandate / Mandate Execution, in a manner as prescribed by the regulatory bodies under applicable law(s)/ notification(s)/ guidelines(s) (as amended from time to time).
    4. Action(s) in relation to a Mandate:
      You may undertake following Action(s) in relation to managing Your Mandate via FinoPay App during the validity of a Mandate i.e. (i) modify the Mandate Limit(s) set by You at the time of Mandate Registration, (ii) pause and/or un-pause the Mandate, (iii) withdraw/ revoke a Mandate before a redemption trigger has been undertaken by Your issuer bank in relation to an Automated  Payment. 
      You agree that Your Action(s) in relation to a Mandate, may be subject to additional validation or authorisation by Your issuer bank. You further agree that Your Action(s) shall be in accordance with these Autopay Terms and in compliance with applicable law(s) and You shall adhere to such time limit(s) associated to Action(s) as prescribed by RBI / NPCI or Your issuer bank (as the case may be). 
    5. Charge(s)
      There may be charges / fee(s) levied in relation to a Mandate.  Such applicable charges / fee(s) shall be displayed by FinoPay and You agree to honour such charges/ fee(s) in relation to the same.  
    6. Liabilities
      You agree and acknowledge to the following: 
      1. FinoPay is only a facilitator of payments for Mandate(s) triggered by Your issuer bank for Automated Payment(s) and not a party to the payment transaction to be paid to the designated payee / beneficiary.
      2. All Mandate Execution(s) shall happen via FinoPay App, based on the Mandate(s) set by the FinoPay User and details shared for the Mandate Registration via FinoPay App.  FinoPay shall not be responsible for any verification of amount(s) deducted from Your linked bank account/ credit limit (as the case may be) and/or for any double payment for a particular Automated Payment. It shall be Your responsibility to verify the details provided/ authorised for each Mandate under this functionality via FinoPay App.
      3. FinoPay shall not hold any responsibility for any issues, concerns or dispute(s) in relation to the good(s), service(s) undertaken by You in relation to an Automated Payment(s), from the designated payee / beneficiary. You can directly reach out to the Eligible Merchant(s) in relation to Your issue(s) arising out of the good(s) / service(s) in this regard. 
      4. You agree and acknowledge to maintain sufficient balance in Your linked bank account/ credit limit (as the same may be) for a successful Mandate Execution. FinoPay shall not be responsible for any liabilities in relation to any failure or decline in the Mandate Execution due to non-availability of sufficient funds in your linked bank account / credit limit (as the case may be). 
      5. It shall be Your responsibility to regularly review Your Action(s), Mandate(s), Mandate Execution(s) enabled via FinoPay App under this functionality. FinoPay shall not be liable for any unauthorised charges, penalties, late fee(s) levied by Your issuer bank/ Eligible Merchant in relation to Automated Payment(s), or for any discrepancies in relation to the Mandate Registration / Mandate Limit set by You in relation to an Automated Payment.
      6. You agree to ensure compliance and adherence to the Mandate Limit(s) prescribed by RBI / NPCI under relevant guidelines / applicable law(s) for Automated Payment enabled under this feature. 
    7. General
      1. You agree to indemnify and hold FinoPay, its affiliates, employees, directors, officers, agents and representatives, harmless, from any and all losses, damages, actions, claims and liabilities (including legal costs) which may arise in relation to these Autopay Terms.
      2. In no event will FinoPay be liable for any indirect, consequential, incidental, special or punitive damages, including without limitation, damages for loss of profits or revenues, business interruption, loss of business opportunities, loss of data or loss of other economic interests, whether in contract, negligence, tort or otherwise, arising from the use of or inability to use the information provided, however caused and whether arising in contract, tort, negligence, warranty or otherwise, in relation to these Autopay Terms.
      3. These Autopay Terms shall be governed by the laws of India, without respect to its conflict of laws principles. Any claim or dispute between You and FinoPay that arises in whole or in part from relation to these Autopay Terms shall be decided exclusively by a court of competent jurisdiction located in Mumbai.
      4. FinoPay disclaims all warranties, express or implied, regarding the accuracy and genuineness of this functionality made available pursuant to these Autopay Terms.
      5. The FinoPay Terms of Use and FinoPay Privacy Policy shall be deemed to be incorporated into these Autopay Terms by reference. In case of any conflict between these terms and the FinoPay Terms of Use, these Autopay Terms shall prevail with respect to this functionality enabled via these Autopay Terms. 
  4. Terms & Conditions for UPI Lite

    UPI Lite is a service facilitated by NPCI and enabled on FinoPay app through which You can make low value payment transactions, without entering UPI PIN, using your UPI Lite account (“UPI Lite”). UPI Lite is solely offered as a service and not a new account or wallet on FinoPay app. If you change your mobile device, you will be able to continue to access your UPI Lite account balance from the new device provided you are using the same phone number, and bank account.

     Registration and loading: You can register for UPI Lite by clicking on the UPI dashboard option. As a part of the registration, you will be prompted to add up to INR 5,000 to your UPI Lite account via your linked bank account that supports UPI Lite (“Bank Account”). The registration for UPI Lite will be deemed complete when You successfully enter and validate your UPI PIN and the money is added to your UPI Lite account. You understand that only one Bank Account, that supports UPI Lite, can be used to link to UPI Lite on FinoPay app.

     Usage and settlement: You can make a payment transaction to a peer or merchant for a maximum of Rs. 1,000 using your UPI Lite account. The total daily usage limit of UPI Lite account shall be restricted to Rs. 10,000 enabling a maximum of Rs 5,000 that can be added twice a day. You understand that:

     NPCI may revise the aforesaid usage limits in its sole discretion from time to time without any prior intimation to You.

    UPI Lite account is only a virtual ‘on device’ balance and a reflection of UPI Lite balance allocated by You. No interest will be paid to You on UPI Lite account balance.

    Actual money or funds with respect to your UPI Lite account are held and maintained solely by your issuing bank;

    UPI Lite account can solely be used for debit transactions and all credit transactions (including refunds, etc.) will be processed in your Bank Account.

    UPI Lite account cannot be used for peer to peer collect requests, auto pay and international payment transactions.

    For any payment transaction up to Rs 1,000 (subject to the total daily usage limit of Rs 10,000), your UPI Lite account will be default used provided your UPI Lite account is available with sufficient funds.

    De-registration: You can disable UPI Lite services at any time from FinoPay app. Once disabled, the unutilised UPI Lite balance will be credited to your source Bank Account by your Issuing Bank.

     

    You understand that:

     If You have a pre-existing balance in UPI Lite account and your Bank Account gets closed, you will be able to spend the pre-existing balance in your UPI Lite account.

    If you change your mobile number, the available balance of the UPI Lite account will not be eligible to be reclaimed in your new number as a new UPI Lite account will be created for the new device. If you are changing your mobile number, you should ensure you disable your UPI Lite account and move the UPI Lite balance back to your bank account. If you fail to disable UPI LITE from your old number then your Issuing Bank will not be able to move the available UPI LITE balance back to your Account. However, if you inform the issuing bank for the same, your issuing bank will try on a best-efforts basis to refund any available UPI LITE balance to your account. You understand that Fino Payments Bank Ltd, NPCI or your issuing bank will not be liable for any loss of money in your UPI Lite account due to occurrence of any of the said scenarios.

    Security of the UPI Lite Account:

    You are responsible for maintaining the confidentiality of your FinoPay app and other details associated with UPI Lite transactions and you are solely responsible for all activities that occur on your mobile phone(s) on which UPI Lite is enabled.

    You shall not hold NPCI/Fino Payments Bank Ltd. responsible for any unauthorized transactions made from your FinoPay account using UPI Lite.

    NPCI/Fino Payments Bank Ltd.  shall not be liable to you or any other person for any loss or damage which may arise due to any failure by you to protect your UPI Lite account on FinoPay app or otherwise not complying with the UPI Lite terms.

    Notwithstanding anything to the contrary contained in the UPI Lite terms herein, NPCI/Fino Payment Bank Ltd. reserves the right to deny the enablement of UPI Lite to you, suspend access to or terminate your User account on FinoPay app, at any time in its sole discretion and without any prior notice or liability to you or any other person.

     Fino Payments Bank Ltd. reserves the right to change, modify, add or remove any term at any time after notifying on FinoPay App or website. The Customer agrees that in the event such changes are not agreeable to the Customer, the only remedy that the Customer shall have, is to terminate his or her Fino Payments Bank Ltd. account. In the event the Customer continues to use the Fino Payments Bank Ltd. account, the Customer shall be deemed to have agreed to such amendments.

    Fino Payments Bank Limited is the distributor of insurance products for IRDA certified insurance companies.   6. PREPAID CARD TERMS AND CONDITIONS

    These terms and conditions ("Terms and Conditions") apply to and regulate the provisions of prepaid payment instruments/cards which are co-branded prepaid instruments issued by Fino Payments Bank (“ the Bank”) and Cobranding Partner in technical collaboration with Bank authorized Technology Service Providers.

    By completing the sign-up process for availing any of the Cards, you are deemed to have expressly read, understood and accepted each and every specific Terms and Conditions for issuance of prepaid instruments mentioned herein, along with the General Terms and Conditions specified on our website https://www.finobank.com and amended from time to time.

    In this agreement, “We”, “Us” or “Our” refers to the Fino Payments Bank, “You” or “Your” refers to the individual purchasing or using the Prepaid Card.

    DEFINITIONS

    In these Terms and Conditions, unless the contrary intention appears and/or the context otherwise requires, capitalized terms defined by: (i) inclusion in quotations and/ or parenthesis have the meanings so ascribed; and (ii) the following terms shall have the meanings assigned to them herein below:

    • “Account” refers to a prepaid account with an account balance equivalent to amount loaded on the PPIs, for the purpose of monitoring the limits available on such PPIs.

    • “Business Day” means a day other than a Sunday, 2nd or 4th Saturday of a Month or Public Holiday as defined under Section 25 of Negotiable Instrument Act, 1881 on which banks are open to transact business of banking.

    • “Charges” means such levy, costs and charges levied by us for usage of the PPIs, as amended from time to time.

    • “Customer” or “Holder” or “You” shall mean any individuals / Organizations who obtain / purchase PPIs from the issuers and who is authorized to hold and use the same against the value stored on such PPI.

    • “Customer Care Centre” refers to contact centre provided by us for addressing all queries, complaints raised by the Customer or any details or information sought by the Customer in relation to the PPIs.

    • “EDC” or “Electronic Data Capture” Machine means terminal, printer, other peripheral and accessory and necessary software on which the PPI can be swiped or used to initiate a transaction.

    • “Internet Payment Gateway” means the protocol stipulated/to be stipulated by us authorizing the payments made using PPI over the internet upon authentication of the Customer.

    • “KYC” shall mean Know Your Customer guidelines adopted by us for the purpose of identification and verification of the customer, pursuant to the Regulations issued by Reserve Bank of India, from time to time.

    • “Merchant Establishments” shall mean such physical establishments (including but not limited to stores, shops, restaurants, hotels, etc.) and Reloadable stores (in any type of electronic form including but not limited to ecommerce platforms, digital marketplaces, etc.) located in India, having a specific contract with us (or a contract through a payment aggregator / payment gateway / card network) for accepting PPI.

    • “Payment Channel” shall mean various modes of transactions including but not limited to EDC/POS terminals/kiosks/ Internet Payment Gateway/Mobile based payment solutions and various other modes as intimated by us from time to time.

    • “Personal Identification Number (PIN)” is a numeric password provided to the Customer while issuing PPI by us.

    • “POS” or “Point of Sale” means electronic terminals maintained by Merchant Establishments in India at which the Customer can use the PPI.

    • “Prepaid Instrument” (PPI) shall mean a prepaid instrument which includes gift cards and meal cards that facilitates purchases against the value stored on such PPIs as defined in the Regulations.

    • “Regulations” shall mean the master directions, circulars, notifications, rules, guidelines, regulations, etc. issued by Reserve Bank of India or any other competent authority related to issuance and operation of prepaid payment instruments in India, as amended from time to time.

    • “Schedule of Charges” shall mean the details of fees or Charges as may be prescribed by us from time to time and displayed on our website.

    • “Transaction” means any transaction initiated by the Customer using PPI at any Merchant Establishment.

    • “Fino Payments Bank” or “Issuer” shall mean Fino Payments Bank Ltd, a banking company within the meaning of the Companies Act, 2013 having its registered office at Mindspace Juinagar, Plot No Gen 2/1/F, Tower 1, 8th Floor, TTC Industrial Area, MIDC Shirwane, Juinagar, Navi Mumbai - 400 706.

    • Limits: All ‘limits’ in the value of instruments stated in the Master Direction, indicate the maximum value of such instruments, denominated in INR, that shall be issued to any holder, unless otherwise specified.

    • “Co-branding Partner” shall mean a company incorporated in India and registered under the Companies Act, 1956/ Companies Act, 2013 and having separate arrangement with Fino Payments Bank to act as Co-branding Partner for issuance of Prepaid Instruments.

    Eligibility Criteria

    • Only Individuals/ Organizations, suitable to enter into a legal binding agreement, may use Cards for transactions in India in Indian Rupee denominations only.

    • In order to register, create and use the Card, the Bank may require the co-branding partner (Business Correspondent) to submit certain personal information of the Cardholder, including but not limited to Cardholder’s name, address, mobile phone number, e-mail address, date of birth, preferred language of communication, etc. to the Bank. Corporate shall ensure it has required consent of the Cardholder for sharing of Cardholder’s information with the Bank.

    • No individual or entity shall misrepresent its identity, age, other demographic, parental, residence, ownership, nature of business information or other such information required to enforce any laws and regulations of India, intentionally or accidentally, and wrongfully use PPIs.

    • The Bank may make further enquiries to verify/authenticate the identity of the Cardholder. In this regard, the Corporate/ Cardholder is responsible to ensure that the personal information provided is, at all times, true, accurate, correct and complete.

    ISSUANCE AND USAGE OF PPI

    • The PPI shall be the exclusive property of the Issuer.

    • The PPI shall be valid only within the territory of India and for transactions in Indian Rupees only. The PPI cannot be used outside the territory of India or for any transactions denominated in foreign currency.

    • The Customer shall be required sign on the reverse side of the PPI (if the PPI is in the card form) immediately upon its receipt. We reserve the right to reject or cancel any Transaction in absence of the signature or mismatch of the signature, without further notice or intimation to the Customer.

    • The PPI shall not be transferable to other individual or third party under any circumstances.

    • We shall not be liable to pay any interest on any balance maintained in the PPI at any point in time.

    • The Customer agrees and confirms that the PIN shall, under no circumstances be revealed by the Customer to any relative or family members or third party. The Customer shall be solely responsible and liable for the consequences arising out of such unauthorized disclosure of PIN and/or unauthorized usage of the PPI. We disclaim all responsibility and liability arising out of or in connection with the unauthorized usage of the PPI and/or any loss or damage, whether direct or indirect, incurred by the Customer as a result of such misuse. If the Customer forgets or misplaces the PIN, the Customer should visit the website or mobile application or any other mode as may be made available by us for regeneration of PIN.

    • Customer needs to utilize the entire credit balance available on the PPI prior to its expiry. In case the Customer does not utilize the credit balance available on the PPI within the validity period, the Customer can approach us for renewal of the PPI. In case the Customer does not approach us within a specified period, the outstanding credit balance available on the PPI will be transferred to a fund in compliance with the Regulations.

    • The customer agrees and confirms that any unclaimed balance amount in the card for more than 10 years will be transferred to the Depositor Education and Awareness Fund (DEAF) as per RBI/2013- 14/527 DBOD.No.DEAF Cell.BC.101/30.01.002/2013-14

    • The Customer shall sign and retain all the charge slips generated for each of the Transaction consummated at a Merchant Establishment. We shall not be obliged to provide copies of the charge slips or transaction slips to the Customer. Any such request by the Customer will be at our sole discretion and provided such requests have been made by the Customer within forty-five (45) Business Days from the date of the Transaction. The Customer agrees that we shall be entitled to charge additional cost or charge for providing copies of the charge or transaction slips.

    • Any charge or cost levied by the Merchant Establishment in relation to any Transaction shall be directly settled by the Customer with the Merchant Establishment. We shall not be liable or responsible, either directly or indirectly, for any act or omission on the part of the Merchant Establishment or the charges or cost levied by them in relation to the Transaction.

    • All refunds and adjustments due to any Merchant Establishments on account of device error or communication link will be processed manually and the Account will be credited after due verification by us pursuant to the applicable rules, regulation and our internal policy . The Customer agrees that any subsequent Transactions will be accepted or honored only based on the available credit balance in the Account without taking into account any disputed amount under consideration by us. The Customer shall unconditionally keep us indemnified against any loss or damage caused to us on account of dishonoring the payment instructions as a result of insufficient funds in the Account. The Customer agrees that we shall be entitled to deduct the amount of such loss or damaged caused to us directly from the Account.

    • The Customer undertakes to act in good faith at all times in relation to all dealings of the PPI. The Customer accepts full responsibility for any illegal or wrongful use of the PPI in contravention to the Terms and Conditions contained herein.

    • The Customer hereby agrees not to use the PPI for making payment(s) of any goods and services, which is illegal under the laws. The PPI cannot be used for making purchases of prohibited or contraband products or services like lottery tickets, banned or prohibited magazines, participation in sweepstakes, purchase of bitcoins, payment for callback services, etc.

    • We do not take any responsibility for any loss, damage or injuries suffered or caused to the Customer in connection with the service, quality of goods and services provided by the Merchant Establishment, refusal to accept (conditional acceptance) the PPI by Merchant Establishment and inability (technical issues) to use the PPI at Merchant Establishment.

    • The Customer hereby acknowledges and agrees that if there is no Transaction for a consecutive period of one (1) year on the PPI, subject to validity of the PPI, the same shall be made inactive by us after sending a notice to the Customer. The PPI can only be reactivated by us after validations and requisite due diligence, as stipulated from time to time.

    • The Customer hereby agrees to receive SMS or email alerts from us for all Transactions done using the PPI. The SMS or email alerts from us shall stipulate debit and credit Transactions, balance available or remaining on the PPI or such other information or details as stipulated by us, from time to time.

    • The Customer agrees that we may, at our sole discretion, utilize the services of external service provider(s) or agent(s) on such terms as required or necessary, for provisioning of the services in relation to the PPI.

    • The Customer shall have access to Frequently Asked Questions (“FAQ”) as uploaded by us on our website, from time to time.

    BREACH

    • In the event of any breach of these Terms and conditions by the Customer, we shall have the sole right to forthwith cancel or terminate the PPI without having any liability, claim, demand or dispute against us.

    • The Customer undertakes and agrees to indemnify us against any loss, damage, claim, penalty, cost, charges or expenses (including legal counsel fees) that we may incur and/or suffer, whether directly or indirectly, as a result of any act of omission or commission, fraud, negligence or default or any breach of the Terms and Conditions on the part of the Customer as a holder of PPI.

    TERM & TERMINATION

    • The PPI shall be valid until the expiry date printed on the face of the PPI.

    b) The Customer agrees and undertakes to destroy the PPI upon its expiry.

    • The Customer agrees that the PPI shall be defaced by cutting off the top right-hand corner, ensuring that both the hologram and the magnetic strip have been cut and has been destroyed or received by us. The Customer agrees that the Customer shall continue to be liable for any Charges incurred on the PPI prior to its termination, irrespective of the fact whether the customer has or claims to have destroyed the PPI.

    • We may at our sole discretion terminate the PPI if:

    • The Customer is declared insolvent or in case of death of the Customer.

    • The Customer committing breach of any of the terms, conditions, stipulations or its obligations under these Terms and Conditions.

    • Any restriction imposed on the Customer by an Order of a competent Court or Order issued by any regulatory or statutory authority in India or any investigating agency.

    • The program becomes illegal under the applicable laws, and Regulations. The program is terminated.

    • We, at our sole discretion, reserves the right to, either temporarily or permanently, withdraw the privileges on the PPI and/or terminate the PPI at any time without giving any notice or assigning any reason thereof. In case of a temporary withdrawal, the privileges attached to the PPI shall be reinstated by us at our sole discretion. In case of a permanent withdrawal, we have a right to cancel the PPI permanently. However, it is made distinctly clear that withdrawal (temporary or permanent) shall constitute automatic withdrawal of all benefits, privileges and services attached to the PPI. The Customer agrees that in the event of temporary or permanent withdrawal of the PPI, the Customer shall continue to be fully liable for all Charges incurred on the PPI prior to such withdrawal, together with all other applicable Charges thereon, unless otherwise specified by us.

    • If we temporarily or permanently, withdraws the privileges or terminates the PPI, we will on best effort basis, promptly notify the Customer. We shall not be held liable or responsible for any such delays or laches in receipt of such notification.

    • Upon termination of the PPI as stated above, the balance amount, if any lying in the Account will be refunded back to the source.

    CHARGES

    • Charges shall include:

    • Any fees charged by us in respect of the PPI, including replacement, renewal, handling and other fees, if any.

    • Service Charges on specific types of Transactions. The method of computation of such Charges will be as notified from time to time.

    • Charges shall be non-refundable, non-transferrable and non-assignable in nature.

    • All Charges, in the absence of manifest error, shall be final and binding on the Customer and shall be conclusive in nature.

    • All statutory taxes including goods and service tax, imposts, duties (of any description whatsoever) as may be levied from time to time by Government of India or other competent authority in respect of or in connection with the PPI, shall be borne by the Customer.

    • All Charges related to the PPI will be debited from the Account, as may be levied from time to time. The Customer shall become liable to pay as soon as a charge has been incurred by use of the PPI.

    LOST, STOLEN OR MISUSED PPI:

    • If the PPI is lost or stolen, the Customer must immediately report such loss or theft to Customer Care Centre and request for immediate suspension of the PPI.

    • The Customer acknowledges that once the PPI is reported lost, stolen or damaged, such PPI cannot be used again, even if found subsequently.

    • The Customer is responsible for the security of the PPI and shall take all steps towards ensuring that the PPI is not mis-used. In the event we determines or receives any information that the Customer has neglected or refused or failed to take steps as indicated above, in case of loss, theft or destruction of the PPI, we reserve the sole right to cancel or terminate such PPI.

    • No liability shall accrue upon the Customer for any unauthorized transactions done on the PPI, after such PPI has been reported lost, stolen or damaged by the Customer. All liabilities accrued on the PPI, post reporting by the Customer shall be borne by us. However, in case of any dispute relating to the time of reporting and/ or transaction(s) made on the PPI, post reporting of the PPI being lost, stolen or misused, all our decisions shall be final and binding on the Customer.

    EXCLUSION OF LIABILITY

    We shall be under no liability or responsibility to the Customer or any third party, in respect of any special, indirect, incidental, consequential, punitive or exemplary loss or damage including, but not limited to, lost profits in connection with this arrangement. DISPUTED TRANSACTIONS

    • Any charge or Transaction slip or other payment requisition received by us for payment shall be conclusive proof of such charge, unless the PPI is lost, stolen or fraudulently misused and evidenced by the Customer.

    • All disputed Transactions in relation to the PPI shall be required to be raised with our Customer Care Centre, within fifteen (15) Business Days from the date of the disputed Transaction. The Customer acknowledges that any request, after fifteen (15) Business Days from the date of the disputed Transaction shall not be accepted by us. QUALITY OF GOODS AND SERVICES Any dispute with or complaint against any Merchant Establishment regarding any goods purchased or services availed must be directly resolved by the Customer with the Merchant Establishment.

    DISCLOSURES

    • The Customer acknowledges that the information on his/her usage of Fino Prepaid Card is shared with any other Bank or financial or statutory or regulatory authorities or entities that provide corporate facilities to the customer.
    • The Customer acknowledges and agrees that Fino Payments Bank may report to any other Bank or financial or statutory or regulatory authorities any Customer delinquencies and/or the usage of the Fino Prepaid Card. Fino Payments Bank shall not be obliged to disclose the details of such Banks or financial or statutory or regulatory authorities to the Customer, including the extent of such disclosure.
    • The Customer hereby authorizes Fino Payments Bank and its agents to exchange, share or part with all the information relating to the Customer’s details and transaction history with Fino Payments Bank’s group companies or Affiliates.

    GOVERNING LAW AND JURISDICTION

    All disputes arising in relation to these Terms and Conditions shall be governed by and construed in accordance with the laws of India and shall be subject to the exclusive jurisdiction of the Courts or Tribunals at Mumbai in India.

    AMENDMENT OF THE TERMS AND CONDITIONS

    • We reserve the sole right to change, these Terms and conditions, features and benefits offered on the PPI, including but not limited to Charges.

    • We shall communicate the amended Terms and Conditions by hosting them on our website https://www.finobank.com/ or in any other manner as decided by us.

    • The Customer shall be responsible for regularly reviewing these Terms and Conditions, including amendments thereto as may be posted on our website and shall be deemed to have accepted the amended Terms and Conditions by continuing to use the PPI.

    CUSTOMER GRIEVANCE REDRESSAL

    • In the event of any dispute or grievance in relation to the PPI and/or these Terms and Conditions, the Customer may contact the Customer Care Centre on details available on the website.

    • In the event the dispute or grievance in relation to the PPI and/or these Terms and Conditions is not adequately addressed or resolved by We Customer Care Centre, the Customer may approach the Nodal Officer, details of which can be found on our website.

    • We agree that all complaints, disputes or grievance raised by the Customer shall be addressed and/or resolved in a time bound manner.

    • The Customer may at any time approach the Banking Ombudsman for the grievance redress. The list of Banking Ombudsman is available on the website of Reserve Bank of India i.e. www.rbi.org.in.

    Terms & Conditions for Complimentary One Month Amazon Prime Subscription with Shubh Savings/Sampann Current Account
